WHEREAS, the Supplier provides certain services as
described herein, and the Client desires to engage the Supplier to
provide such services.
The Supplier agrees to provide the services set forth in one or more statements of work (each a "Statement of Work" or “SOW”) or service level agreements (“SLA”) executed by both parties. Each SOW or SLA shall be incorporated into and become part of this Agreement. The Scope of Services will outline specific deliverables, timelines, and performance metrics.
All payment details, including rates, fees, milestones, and schedules for payment, shall be specified in the relevant Statement of Work or Service Level Agreement. Payments are due upon the terms outlined in the applicable SOW or SLA.
This Agreement shall commence on the Effective Date and will continue until terminated by either party in accordance with this Agreement.
Either party may terminate this Agreement or any applicable SOW or SLA:
Upon termination of this Agreement or any SOW or SLA, the Supplier shall cease all work and provide the Client with all completed and partially finished deliverables. The Client shall pay for all services rendered to the date of termination as outlined in the applicable SOW or SLA.
The ownership of intellectual property developed or created in connection with the services provided under this Agreement shall be governed in accordance with the terms stipulated in the relevant SOW or SLA. Any materials provided by the Client for use by the Supplier in the carrying out of the services shall remain the property of the Client.
Both parties acknowledge that during the performance of this Agreement, they may be privy to certain confidential information of the other party. "Confidential Information" refers to all information that is proprietary or confidential in nature.

To the fullest extent permitted by law, neither party shall be liable to the other for any indirect, incidental, special, or consequential damages arising from this Agreement, including but not limited to loss of profits, loss of reputation, or other intangible losses, regardless of the basis of the claim, whether in contract or tort.
This Agreement shall be governed by and construed in accordance with the laws of Hong Kong. Any disputes arising in connection with this Agreement shall be resolved in the courts located in Hong Kong.
This Agreement, along with any executed SOWs and SLAs, constitutes the entire agreement between the parties concerning the subject matter herein and supersedes all prior agreements and understandings.
No modification or amendment to this Agreement shall be valid unless made in writing and signed by both parties.
No waiver of any term or condition of this Agreement shall be deemed or shall constitute a waiver of any other term or condition, nor shall any waiver constitute a continuing waiver.
Any notices required or permitted under this Agreement shall be in writing and shall be deemed given when sent by registered or certified mail, return receipt requested, or via electronic mail with confirmation of receipt.
